Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you (and the organization you represent, “you” or “Customer”) and FlowLogic LLC (“FlowLogic,” “we,” “us,” or “our”), a limited liability company organized in Oregon, USA, governing your access to and use of the DecisionGraph platform, the DGx editor extension, related APIs, and any associated services (collectively, the “Service”).

By creating an account, accessing, or using the Service, you agree to these Terms. If you are agreeing on behalf of an organization, you represent that you have authority to bind it.

1. The Service

DecisionGraph is a graph-based production management platform that connects strategy to execution and supports AI-assisted workflows, including Voice of Customer (“VoC”) calling, transcription, and analysis features. The Service is provided on a subscription, design-partner, or trial basis as agreed.

2. Accounts and eligibility

You must provide accurate account information and are responsible for safeguarding your credentials and for all activity under your account. You must be at least 18 years old and capable of forming a binding contract.

3. Customer Content and ownership

You own your content. As between you and us, you retain all rights in the data, specifications, decisions, work items, recordings, transcripts, and other materials you create, upload, or generate through the Service (“Customer Content”).

You grant us a limited, non-exclusive license to host, process, transmit, and display Customer Content solely to provide, secure, and improve the Service for you, including transmitting it to the subprocessors identified in our Privacy Policy. We claim no ownership of Customer Content and do not use it to train generalized AI models.

Our IP. We retain all rights in the Service itself, including its software, graph architecture, and documentation. These Terms grant you a limited, revocable, non-transferable right to use the Service during your subscription.

4. Third-party services and bring-your-own-agent

The Service is designed to interoperate with third-party tools and AI agents that you choose to connect (“Third-Party Services”), including integrations via the Model Context Protocol. We do not control Third-Party Services, and your use of them is governed by their own terms. You are responsible for the agents and integrations you connect and for any data exchanged with them. We are not liable for the acts, omissions, availability, or outputs of Third-Party Services.

5. Voice of Customer and call recording — your responsibilities

The VoC features allow you to place and receive calls and to record and transcribe them. You are solely responsible for compliance with all laws applicable to your use of these features, including laws governing call recording, consent, notice, telemarketing, and the handling of personal information.

You acknowledge that some jurisdictions require the consent of all parties to record a call. You agree to provide all legally required notices and to obtain all legally required consents from individuals you call or who call you. You will not use the VoC features for unlawful, harassing, or deceptive communications. You will configure and use any disclosure mechanisms we provide as needed for the jurisdictions involved.

You will indemnify us for claims arising from your failure to meet these obligations, as described in Section 11.

6. Acceptable use

You will not: (a) use the Service unlawfully or to violate the rights of others; (b) attempt to gain unauthorized access to the Service or its systems; (c) interfere with or disrupt the Service; (d) reverse engineer or copy the Service except as permitted by law; (e) resell or provide the Service to third parties except as expressly agreed; or (f) use the Service to send unlawful, infringing, or harmful content.

7. Fees and payment

Fees, billing frequency, and any trial or design-partner terms are as agreed between you and us. Unless otherwise stated, fees are non-refundable and exclusive of taxes. We may change pricing prospectively on notice. Failure to pay may result in suspension or termination.

8. Beta and early-access features

Parts of the Service may be offered as beta, preview, or early-access features. These are provided “as is,” may change or be withdrawn, and may be less reliable than generally available features. You use them at your own risk.

9. Confidentiality

Each party may receive confidential information from the other. The receiving party will protect it with reasonable care and use it only to perform under these Terms, except for information that is public, independently developed, or required to be disclosed by law.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED OUTPUTS WILL BE ACCURATE OR FIT FOR YOUR PURPOSES. YOU ARE RESPONSIBLE FOR REVIEWING AI OUTPUTS BEFORE RELYING ON THEM.

11. Indemnification

You will defend, indemnify, and hold harmless FlowLogic LLC from claims, damages, and costs (including reasonable attorneys' fees) arising from: (a) your Customer Content; (b) your use of the VoC features or failure to obtain required consents (Section 5); (c) your use of Third-Party Services; or (d) your violation of these Terms or applicable law.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100) IF YOU HAVE PAID NOTHING.

13. Term and termination

These Terms apply while you use the Service. Either party may terminate as agreed in your subscription or, absent a separate agreement, on reasonable notice. We may suspend or terminate access for breach, non-payment, or to comply with law. On termination, your right to use the Service ends and we will delete or return Customer Content as described in our Privacy Policy. Sections that by their nature should survive (including 3, 5, 9–14) survive termination.

14. Governing law and disputes

These Terms are governed by the laws of the State of Oregon, without regard to its conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in Washington County, Oregon, except that either party may seek injunctive relief in any court of competent jurisdiction.

15. Changes to these Terms

We may update these Terms from time to time. We will post the updated version with a revised “Last updated” date and, for material changes, provide notice where appropriate. Continued use after changes take effect constitutes acceptance.
